When you have to close
The final NYS-45 is due within 30 days of the date you ceased paying wages. That is 30 days from the last payroll, not from the end of the quarter, and it applies whether you dissolved, sold the business, or simply moved your last New York employee elsewhere. If the business was sold or assets were transferred, that has to be reported on the same return.
Final returns come first
Form NYS-45 is the final return, marked as such, with the date wages ceased entered on line 23 along with any information about a sale or transfer of assets. Filing it satisfies the Tax Department. It does not tell the Department of Labor anything about your unemployment insurance account, which is the step almost everyone skips.
How long it takes
New York does not publish a processing time for closing an employer account. The 30 day deadline is on you, not on the state, and there is no published clock running the other way. We track the account until the status change is confirmed rather than treating the filed return as the end of it.

What makes New York harder than average
- One return, two agencies. NYS-45 is a combined withholding, wage reporting, and unemployment insurance return, so it looks like a single filing closes everything. The Tax Department's own guidance says to separately contact the Department of Labor about a change in unemployment insurance. A combined return and a combined closure are not the same thing.
- The 30 day clock starts at your last payroll. It is not tied to the quarterly calendar, so a business that stops paying wages in the middle of a quarter is already on a deadline it has no reason to be watching for.
- Line 23 carries more than a date. If the business was sold or assets were transferred, that goes on the final return too, and getting it wrong is harder to unwind later than getting it right the first time.
- There is no published closure form for the unemployment side. It is a contact, not a filing, which means there is no receipt unless you ask for one and follow up until you have it.

When is my final New York payroll return due?
