- Changing your entity type counts as ceasing business. Converting a sole proprietorship into an LLC or corporation triggers the final return and the surrender, and the new entity needs its own Certificate of Authority. People restructuring for tax or liability reasons rarely expect a sales tax deadline to fall out of it.
- Do not post the certificate back. New York says it is not necessary to return the Certificate of Authority to the Tax Department, and that your copy should be destroyed. Mailing it in achieves nothing and does not substitute for the return.
- The account inactivates on processing, not on filing. Until the department works through the final return, the account is live. That gap is where a business that filed on day nineteen and assumed it was done can still receive correspondence.
