When you have to close

You close when the registration is no longer needed. Form AI-1 asks why, and the options are not interchangeable: discontinued, sold, change in organization, transferred, or other. A business restructuring rather than closing picks a different one from a business that simply stopped.

Final returns come first

All filings need to be completed up to the closing date. If the close date is retroactive, that is the date to use, and the filings still have to run right up to it. Closing with a back-dated date and an incomplete filing history is the specific pattern Massachusetts warns produces future assessments.

What makes Massachusetts harder than average

  • A retroactive close date is allowed and it raises the bar rather than lowering it. Massachusetts says that if your registration has a retroactive close date, that is the date to reflect, and that all filings need to be completed up to it to avoid future assessments. Back-dating does not let you skip the periods in between.
  • One form covers five tax types. Form AI-1 carries checkboxes for withholding, sales, sales on services, room occupancy, and meals. A restaurant closing might hold three of those, and cancelling one does nothing to the others.
  • The reason you give is a substantive answer. Discontinued, sold, change in organization, and transferred are treated differently. Picking the convenient one rather than the accurate one creates a mismatch with whatever the entity records say later.
  • Three routes means three ways to think you are finished. Cancelling in MassTaxConnect, ticking final on a return, and filing AI-1 all work. Doing a partial version of one and assuming another covered the rest is where it goes wrong.

Can I close a Massachusetts sales tax registration with a past date?

No. That sits with the Department of Unemployment Assistance on a different system and is suspended separately. Massachusetts charges fees on an open unemployment account after your last employee leaves, so it is worth doing at the same time.
