Ohio · Sales tax closure

Cancel an Ohio vendor's license.

Ohio runs the same tight clock on sales tax as it does on payroll. A vendor who stops making taxable retail sales files the final return and pays all tax within 15 days of the final sale. The licence itself is cancelled on that return, by marking the last day of business.

State fee. $0 to cancel. All tax due has to be paid with the final return, within the same 15 day window.

When you have to close

The 15 days start at your final taxable retail sale, not at the end of the month or quarter, and not at the day you formally wind the business up. A business that made its last sale mid-month is on a clock it has no reason to be watching.

Final returns come first

The final return does two jobs: it reports and pays the tax, and it cancels the licence when you complete the section showing the last day of business. Both can be done on the Ohio Business Gateway. A final return filed without that section completed pays the tax and leaves the licence live.

How long it takes

Ohio does not publish a turnaround for the cancellation. The deadline runs against you rather than against the state, which is the pattern in Ohio on both the sales and the payroll side.

What we do

We confirm which accounts are open, file the final returns if they are still outstanding, submit the cancellation to each agency, and follow up until both are confirmed closed. You get the written confirmations. One flat price, and the state charges nothing to close.

What makes Ohio harder than average

  • Fifteen days from the final sale. This is one of the shortest sales tax deadlines in the country and it is measured from a sale rather than from a period end, so it can expire before the business has finished shutting down.
  • The cancellation is a section of the return, not a separate act. If the last day of business is not entered, you have filed a correct final return and cancelled nothing, and no error message tells you.
  • ST-1 is the application, not the closure. Searching Ohio sales tax forms turns up ST-1 constantly, and it is the form for getting a vendor's license rather than ending one. There is no matching cancellation form to look for.
  • Ohio runs the same 15 day discipline on payroll. The withholding reconciliation and all W-2s are due within 15 days of closing the business. A business winding down in Ohio is on two short clocks at once, at two different agencies.
  • There is a school district layer underneath the state one. Ohio employers who withheld school district income tax file the SD 101 during the year and reconcile it separately. It is easy to close the state withholding account and leave the school district side unresolved, the same way Pennsylvania employers forget local Earned Income Tax.

Questions and answers

How long do I have to file Ohio's final sales tax return?

Fifteen days from your final taxable retail sale, and the tax has to be paid in the same window. It is measured from the sale, not from the end of a filing period.

How do I cancel the vendor's license itself?

By completing the section of the final return that shows the last day of business. That is what cancels it. It can be done on the Ohio Business Gateway at the same time as the return.

Is there a cancellation form?

No. Form ST-1 is the application for a vendor's license, which is why searching turns it up. The cancellation happens on the final return rather than on its own document.

I also had employees in Ohio. Is that the same deadline?

A separate one with the same length. The final withholding reconciliation, IT 941 or IT 942, plus all W-2 information, is due within 15 days of closing the business, and it goes to the Department of Taxation with the unemployment account handled separately at Job and Family Services.

What do you need from me to start?

The legal name and Ohio vendor's license number, the date of your final taxable sale, the figures for the final period, and whether you also hold Ohio payroll accounts.
