Oregon · Payroll closure

Close an Oregon payroll tax account.

Oregon runs six payroll programs through one combined quarterly report, but stopping them is not automatic. Writing final on the last Form OQ does nothing, because the state's systems ignore notations; the account closes only when the Business Change in Status form reaches the Employment Department with the date of final payroll. Until then, every quarter still expects a report, payroll or not.

File Form OQ and Form 013 (150-211-156): close the Oregon payroll accounts

Each one goes to the agency that issues it, named above with the system it is filed through. We prepare them, file them, and send you the written confirmation from each agency.

State fee. $0. Neither agency charges to close a payroll account, and the Business Change in Status form has no payment line. Outstanding tax, penalties, or interest still have to be settled.

Our fee. $180 per state, flat. State fees are passed through at cost.

When you have to close or cancel

You need to close once the business stops paying Oregon wages: closure, sale or lease of the business, dissolution, or moving the last Oregon employee out of state. The Employment Department's list of reportable changes runs from sale of the business to death of an owner. Note what does not count: dissolving the entity with the Secretary of State does nothing here, because the Department of Revenue says changes are not shared between the payroll agencies and the Oregon Business Registry in either direction.

Final returns come first

The final Form OQ covers all six programs at once, withholding, Statewide Transit Tax, transit district taxes, unemployment insurance, Paid Leave Oregon, and the Workers' Benefit Fund, and it keeps its normal quarterly due date even when the business ends mid-quarter. The one accelerated deadline is Form OR-WR, the annual withholding reconciliation, due within 30 days of final payroll instead of the following January. Until the closure form is processed, an open account still requires quarterly reports even with no payroll.

How long it takes

Oregon publishes no processing time for a closure or for the Business Change in Status form. The only published payroll timelines are for opening a BIN. That is why we track the accounts until each agency's records actually show them closed, and send you that confirmation.

What we do

We confirm which accounts are open, file any outstanding final returns, submit each cancellation, and follow up until every agency confirms in writing. You keep the client. We never email them.

Form OR-WR, the withholding reconciliation, is due within 30 days of your final payroll when a business stops during the year, so the closure clock starts at the last paycheck, not at year end.

What makes Oregon harder than average

  • Notes on the final report are ignored by design. The state processes Form OQ electronically and says its systems will not pick up special instructions or notations written on it. Without the Business Change in Status form, the account stays open and keeps demanding no-payroll reports.
  • Six programs, three agencies, two portals. The report files in Frances Online, payment runs through Revenue Online, the closure form goes to the Employment Department, and yet it is the Department of Revenue's BIN it closes. The Workers' Benefit Fund adds a fourth party: the state says to also tell your workers' compensation insurer.
  • The Secretary of State connection people assume does not exist. Oregon says payroll account changes are not shared with the Oregon Business Registry, nor the reverse, so a dissolved LLC can keep generating payroll notices indefinitely.
  • One deadline actually moves. Everything else keeps its quarterly schedule, but Form OR-WR comes due 30 days after final payroll, months before the January date an annual form suggests.
  • Reopening has a cliff. Closed less than a year, a Business Change in Status form reopens the BIN. A year or more and it is a full new registration, and Oregon warns some old BINs cannot be reused.

Dissolving the company is not the same as closing the tax accounts

Articles of dissolution leave the withholding, unemployment, and sales tax accounts open, and those agencies keep expecting returns until each one is closed with them. That is the separate filing that stops the notices.

How Oregon compares

Every state closes them differently. The table compares Oregon with the other states we have documented, agency by agency.

For CPAs and bookkeepers

Send the state, the last payroll or sale date, and the account numbers. The written confirmations come back to you. We do not dissolve the company and we do not take over payroll.

Questions and answers

Do I keep filing if I have no payroll?

Yes, until the account is actually closed. Oregon says an open account must file the quarterly combined report even with no payroll, and offers a no-payroll phone line for exactly that situation. Closing properly is what ends the obligation.

Is there a fee to close?

No. Neither agency charges, and the Business Change in Status form has no payment line.

Does dissolving my LLC close the payroll accounts?

No. Oregon states that payroll account changes are not shared with the Secretary of State's Oregon Business Registry in either direction. The accounts close only through the final Form OQ and the Business Change in Status form.

Which deadlines change when I close mid-year?

The final Form OQ keeps its normal quarterly due date, but Form OR-WR, the annual withholding reconciliation, becomes due within 30 days of final payroll. W-2 filing keeps its January 31 date; Oregon publishes no acceleration for it.

What do you need from me to start?

The BIN, the date of final payroll, which programs the business reported (withholding, UI, Paid Leave, transit, Workers' Benefit Fund), Frances Online access or authorization to file by form, and where to send the confirmations.
