Florida · Sales tax closure

Florida sales tax account closure, done for you.

Florida's deadline is faster than people expect: if you close or sell the business, the final return and all taxes due are owed within 15 days, covering the period from your most recent return through the closing date. The cancellation itself runs through the Department's account update route, and until it is processed, Florida law still requires a return for every period, even at zero.

Florida Department of Revenue, sales tax closure

State fee. $0. Florida publishes no fee for cancelling a sales and use tax account. What costs money is lateness: the minimum late penalty is $50 even on a return with no tax due.

Our fee. $180 per state, flat. State fees are passed through at cost.

When you have to close or cancel

Closing or selling the business is the trigger, and the clock is short: the final return and payment of all applicable taxes are due within 15 days after closing or selling. The final return covers the period from the most recent return filing to the closing date. Until the account is cancelled, Florida law requires a return for every reporting period, even when no tax is due.

Final returns come first

The final DR-15 comes first and fast: within 15 days of closing, covering everything since the last filed return. If the final return shows a credit balance, the refund is claimed on Form DR-26S, the Application for Refund, which the DR-15 instructions point at for final returns. The Annual Resale Certificate rides on the registration: certificates are issued only to dealers with a valid, active sales tax account, so the resale credential ends with the account.

How long it takes

Florida does not publish a processing time for a cancellation, and the Department's own materials do not state that a written closure confirmation is issued. The dated final return and the account's cancelled status are the record, and we keep both.

What we do

We confirm which accounts are open, file any outstanding final returns, submit each cancellation, and follow up until every agency confirms in writing. You keep the client. We never email them.

What makes Florida harder than average

  • Fifteen days, not a quarter. Most states let the final return ride the normal cycle; Florida wants it, and payment, within 15 days of closing or selling. A business that winds down and then starts the paperwork is late before it begins.
  • Zero is not nothing. Florida law requires a return for each reporting period even when no sales and use tax is due, and a late return carries a minimum $50 penalty even with no tax owed. An account left open after the last sale quietly accrues exactly this.
  • There is no closure form to point at. The Department's route is the online account update service or a letter to Account Management with the business partner number and certificate number, which means the evidence of the request is what you keep, not a stamped form.
  • No published confirmation letter. The Department's materials do not state that written closure confirmation is issued, so the proof of a clean exit is the dated final return, the refund claim if any, and the account's status afterward.
  • The resale certificate dies with the account. Annual Resale Certificates issue only to active registered dealers, so cancelling mid-year ends tax exempt purchasing immediately, which matters to a business selling down inventory during the wind-down.

Dissolving the company is not the same as closing the tax accounts

Articles of dissolution leave the withholding, unemployment, and sales tax accounts open, and those agencies keep expecting returns until each one is closed with them. That is the separate filing that stops the notices.

For CPAs and bookkeepers

Send the state, the last payroll or sale date, and the account numbers. The written confirmations come back to you. We do not dissolve the company and we do not take over payroll.

Questions and answers

When is the final Florida sales tax return due?

Within 15 days after closing or selling the business, with all applicable taxes paid, covering the period from your most recent return filing to the closing date. That is the Department's own rule, stated in the DR-15 instructions.

How do I cancel the sales tax account itself?

Through the account update service on the Department's site, floridarevenue.com, or by letter to Account Management with your business partner number and certificate number. Florida publishes no dedicated closure form; the update route is the route.

Do I still file if I had no sales in the final period?

Yes. Florida law requires a return for each reporting period even when no tax is due, and a late return carries a minimum $50 penalty even at zero. The obligation ends when the account is cancelled, not when the sales stop.

What happens to my Annual Resale Certificate when the account closes?

It ends with the registration. The Department issues Annual Resale Certificates only to dealers with a valid sales tax account on active status, so a cancelled account has no resale credential behind it and suppliers verifying the number will see it is not valid.

Will Florida send written confirmation the account is closed?

The Department's own materials do not state that a confirmation letter is issued. We keep the dated final return, the cancellation request record, and the account status as the evidence, and if a credit balance existed, the DR-26S refund claim closes the loop.

What do you need from me to start?

The certificate number and business partner number, the closing or sale date, the figures for the period since the last return, and whether a credit balance needs the refund claim. We file the final return, submit the cancellation, and hand you the record.
