North Carolina · Sales tax closure

Close a North Carolina sales tax account.

North Carolina uses one form for this, the NC-BN, and it will close your sales and use tax account along with any other Department of Revenue registrations you tick. The risk is not the form. It is believing that dissolving the business did the job.

Who you are dealing with

North Carolina Department of Revenue

Handles:
Sales and use tax account, and on the same form any other state tax registrations tied to the business
System:
NCDOR web-fill
Form:
NC-BN, Out-of-Business Notification. Question 1 carries the date closed, Question 3 selects the accounts. Mailed to NCDOR, PO Box 25000, Raleigh NC 27640-0001, and not with a tax return

Agency source

State fee. $0. There is no filing fee for the NC-BN. Sales tax already collected and owed is a separate matter that closing the account does not touch.

When you have to close

You file when you stop making taxable sales in North Carolina. The form also covers seasonal accounts, so a business that sells only part of the year can mark the account seasonal rather than closing and re-registering each cycle.

Final returns come first

File the final sales and use tax return covering activity through the closing date alongside the NC-BN. A notification filed while a return is outstanding leaves an obligation standing behind a closed account, which is the version that still produces letters.

How long it takes

North Carolina does not publish a processing time for the NC-BN. The exposure is the period before it is filed rather than after, because the account stays open and expects returns until the notification arrives.

What we do

We confirm which accounts are open, file the final returns if they are still outstanding, submit the cancellation to each agency, and follow up until both are confirmed closed. You get the written confirmations. One flat price, and the state charges nothing to close.

What makes North Carolina harder than average

  • Dissolution does not close the sales tax account. If the NC-BN is skipped, the Department of Revenue can keep expecting returns and issuing non-filing penalties even after your articles of dissolution have been accepted. The Secretary of State and the Department of Revenue do not tell each other anything.
  • You have to tick the right account. NC-BN closes the registrations you select in Question 3. A business that held both a sales account and a withholding account and ticks only one leaves the other live, and nothing warns you.
  • Do not send it with a tax return. North Carolina says so on the form, and it goes to its own PO Box. Stapling it to the final sales tax return is a reliable way to have it ignored.
  • Seasonal and closed look similar on the form and are not. Marking an account seasonal keeps it alive for next year. Marking it closed does not. Choosing the wrong one either strands you re-registering or leaves you filing.

Questions and answers

I dissolved the business. Is the sales tax account closed?

No. Dissolution happens at the Secretary of State and does nothing to your Department of Revenue registrations. Without the NC-BN, NCDOR can keep expecting sales and use tax returns and issuing non-filing penalties.

Can one form close sales tax and withholding together?

Yes, if you tick both in Question 3. NC-BN covers sales and use, withholding, and other state tax registrations tied to the business, but only the ones you select.

Is there a fee?

No. The NC-BN has no filing fee. Sales tax you collected and have not remitted is a separate matter and survives the closure.

I only sell part of the year. Do I have to close?

Not necessarily. The same form handles seasonal accounts, so you can mark the account seasonal instead of closing and re-registering every year. Tell us which pattern you are in and we will mark it correctly.

What do you need from me to start?

The legal name and FEIN, the North Carolina sales and use tax account ID, the date you stopped making taxable sales, whether you also hold a withholding account, and whether the final return has gone in.
