When you have to close

You close the permit when you stop making taxable sales in Texas, whether that is closing the business, closing one location, or dropping below the point where you need to collect. Closing a single location is a different action from closing the permit entirely, and mixing the two up is a common way to end up with a permit still live after the business is gone.

Final returns come first

A sales taxpayer closing a place of business is responsible for filing a return covering the final filing period, and Texas requires that final report even when there was zero activity in the period. A permit left with an unfiled final return keeps generating notices whether or not there was anything to report.

How long it takes

Texas does not publish a processing time for closing a permit. The final return is the gating item, not the closure request, so how long it takes is mostly a question of how quickly the last return can be filed and paid.

What makes Texas harder than average

  • Use tax on inventory nobody thinks about. Anything you bought tax free for resale and then diverted to personal use, used in the course of business, or gave away as a gift or a promotional item carries use tax on its purchase price. Businesses winding down almost always do some of this, and almost never expect the bill.
  • A zero return is still a return. Texas wants the final report even for a period with no taxable activity. Assuming there is nothing to file because there were no sales is exactly how a closed business keeps hearing from the Comptroller.
  • Closing a location is not closing the permit. The Close Business Location form does what its name says. If you are done in Texas entirely, the permit itself has to be marked inactive, and those are separate actions.
  • The sales tax permit and the unemployment account are unrelated. Texas has no state income tax withholding, so payroll in Texas means the unemployment account at the Texas Workforce Commission, and closing your sales tax permit does nothing to it.
